Welcome to Thumri, operated by DigiBuddy. These Seller Terms & Conditions ("Agreement") govern your use of the Thumri platform as a seller. By registering and selling your products through Thumri, you agree to comply with the following terms and conditions. Please read them carefully.

Seller Eligibility

1.1 Eligibility Criteria:

To sell products on Thumri, you must:

<!-- [if !supportLists]-->·         <!--[endif]-->Own a legally registered business in India with valid tax registration (e.g., GSTIN).

<!-- [if !supportLists]-->·         <!--[endif]-->Provide all necessary documents required for seller registration, including PAN, business registration certificates, and bank account details.

1.2 Account Registration:

Sellers are required to create a seller account by providing accurate and up-to-date information. You agree to maintain and promptly update your account details to ensure they are correct.

Seller Obligations

2.1 Product Listings:

<!-- [if !supportLists]-->·         <!--[endif]-->You agree to sell only authentic, legal, and original products on Thumri.

<!-- [if !supportLists]-->·         <!--[endif]-->It is strictly prohibited to list or sell any goods that are illegal or contravene the Indian Constitution or any applicable laws. This includes, but is not limited to, counterfeit goods, controlled substances, and any products that are prohibited under Indian law.

2.2 Compliance with Laws:

You agree to comply with all applicable local, state, national, and international laws and regulations, including but not limited to Indian consumer protection laws, intellectual property laws, and tax regulations.

2.3 Pricing:

Sellers are responsible for setting the prices of their products. Pricing must include all applicable taxes, and sellers must not engage in price manipulation or unfair practices.

2.4 Inventory Management:

You are responsible for maintaining accurate inventory levels. If a product is out of stock, you must update the product listing promptly to avoid customer dissatisfaction.

Order Fulfillment and Shipping

3.1 Order Processing:

Sellers are required to fulfill customer orders promptly. You must ship the ordered products within the timeframe specified on the product listing.

3.2 Shipping and Delivery:

<!-- [if !supportLists]-->·         <!--[endif]-->Shipping charges, if any, should be clearly mentioned on the product listing.

3.3 Returns and Cancellations:

Sellers are required to clearly specify their return, exchange, and refund policies in compliance with Thumri’s guidelines. However, all sellers must comply with applicable consumer protection laws concerning product returns.

Commissions and Fees

4.1 Platform Fees:

In return for using Thumri's platform, sellers agree to pay a commission on each sale, as outlined in the seller dashboard. Commission rates may vary depending on the product category.

4.2 Payment Terms:

<!-- [if !supportLists]-->·         <!--[endif]-->Sellers must ensure the accuracy of their bank details and tax information for timely payments.

Seller Representations and Warranties

5 - By registering as a seller on Thumri, you represent and warrant that:

- You have all necessary rights, permissions, and licenses to sell the listed products.

- The products sold are authentic, free from defects, and compliant with applicable laws.

- The product descriptions are accurate, and you are responsible for any discrepancies between the listing and the delivered product.

Indemnity and Liability

6.1 Seller Indemnity:

Sellers agree to indemnify and hold harmless DigiBuddy (the company operating Thumri) and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

<!-- [if !supportLists]-->·         <!--[endif]-->Any claims related to the products sold by the seller, including but not limited to product liability, warranty claims, or intellectual property infringement.

6.2 Limitation of Liability:

DigiBuddy shall not be liable for any direct, indirect, incidental, or consequential damages, including loss of profits, business interruptions, or any other pecuniary loss arising from the seller’s use of the Thumri platform.

Product Responsibility

Sellers agree that they alone are responsible for the quality, warranty, and any guarantee related to the products they sell. Thumri shall not be liable for any product defects or failures.

7.1 Warranty and Guarantee:

<!-- [if !supportLists]-->·         <!--[endif]-->Sellers must clearly communicate the warranty terms to customers, and any disputes related to warranty or product quality are to be handled by the seller directly with the customer.

<!-- [if !supportLists]-->·         <!--[endif]-->DigiBuddy will not be liable for any product-related issues, including defects, warranty claims, or product failures.

Data Confidentiality

8.1 Confidential Information:

Sellers agree not to share, disclose, or misuse any data related to customers, sales, or platform-related information obtained through Thumri. This includes but is not limited to:

8.2 Legal Action for Breach:

Any breach of data confidentiality by the seller may result in termination of the seller's account, legal action, and potential liability for damages.

9.Termination of Seller Account

DigiBuddy reserves the right to suspend or terminate a seller’s account under the following circumstances:

<!-- [if !supportLists]-->·         <!--[endif]-->Selling counterfeit or illegal products, or products that contravene the Indian Constitution or applicable laws.

<!-- [if !supportLists]-->·         <!--[endif]-->Engaging in fraudulent activities, price manipulation, or unfair trade practices.

<!-- [if !supportLists]-->·         <!--[endif]-->Consistent negative customer feedback or failure to meet order fulfillment standards.

Upon termination, the seller will no longer have access to their account, and all listings will be removed from the platform. Any pending orders or transactions must still be fulfilled by the seller.

10. Intellectual Property

Sellers agree not to infringe upon the intellectual property rights of any third parties. All product images, descriptions, and content uploaded by the seller must comply with copyright, trademark, and intellectual property laws.

11. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts at [Jurisdiction].

12. Amendments

DigiBuddy reserves the right to amend or update these Seller Terms & Conditions from time to time. Sellers will be notified of any changes through the platform or by email. Continued use of the platform following such amendments constitutes acceptance of the new terms.

Miscellaneous

13.1 Force Majeure:

Neither party shall be liable for any failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of war, terrorism, or government actions.

13.2 Independent Contractors:

The relationship between DigiBuddy and sellers is that of independent contractors. Nothing in this Agreement shall be construed to create any partnership, joint venture, or employer-employee relationship.
